Terms of Service

Last updated 25 Oct 2026

1. About these terms

These terms are an agreement between you and Markj Research and Analytics Solutions Private Limited (CIN U62099MH2025PTC454968), with its registered office at CD Barfiwala Road, Andheri West, Mumbai, Maharashtra 400058, India ("Keel", "we", "us"). They cover your use of the Keel website and app and the services we provide through them (the "Service").

By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you are using Keel on behalf of a company, LLP, firm or other business, you confirm that you are authorised to accept these terms on its behalf, and in these terms "you" includes that business.

You must be at least 18 years old to use Keel. Keel is built for running a business. It is not intended for personal, family or household use.

2. What Keel is, and what it is not

Keel is software that helps a business keep track of its statutory compliance. It builds a calendar of filings and deadlines from the details you give it, explains each obligation, estimates penalties, prepares figures and draft documents, and sends reminders. It also offers document generation, AI-assisted document reading and question answering, and a registration concierge where Keel's own team handles certain registrations for you.

Keel is not a law firm, a chartered accountant, a company secretary or a tax practitioner, and nothing in the Service is legal, tax, accounting or other professional advice. Laws, rules, forms and due dates change, sometimes with little notice, and Keel may not reflect a change immediately. A calendar built from incomplete or incorrect details will itself be incomplete or incorrect. Before you file, pay or rely on anything in Keel, check it with a qualified professional, particularly due dates, whether an obligation applies to you, and penalty amounts.

AI features. Some parts of Keel use artificial intelligence to read documents, explain obligations, and draft documents and messages. AI output can be incomplete, out of date or simply wrong, even when it reads confidently. Everything Keel generates with AI is a draft for you to review. You are responsible for checking it before you sign, file, send or otherwise rely on it.

Experts. If you ask for help from an outside professional through Keel, we will try to connect you with one. That professional, not Keel, is responsible for the advice and work they provide. We do not independently vet or guarantee the professionals in this network today.

Work done by Keel's team (concierge). If you ask Keel's own team to handle a registration or prepare a filing for you, we do so based on the details and documents you provide, for a fee we agree with you in writing before we start. You remain responsible for the accuracy of what you give us. The relevant authority, not Keel, decides whether to grant a registration or accept a filing, and how long it takes. The refund terms for this work are in our refunds policy, which forms part of these terms.

3. Filings, reminders and your responsibility

Nothing is filed without your go-ahead. Keel's staff file GST, TAN, Udyam and DPIIT registrations for you as a paid service you ask for, and can obtain other documents on your checklist. For returns such as GST, TDS and income tax, Keel can prepare the return for you to approve and file, as a paid service you ask for. For the GST returns Keel supports in the app, Keel computes the return from the figures you enter and shows you the exact numbers for approval; you or your professional then file it on the government portal. Where a chartered accountant must certify or audit (AOC-4, statutory or tax audit), Keel prepares the work and engages a chartered accountant, whom Keel pays for that work; they do not invoice you and you do not pay them. Keel never takes company-secretary work. Everything else you or your own professional file, and every obligation tells you where.

No filing or registration is ever submitted on your behalf unless you have asked for that service and approved it. If direct e-filing becomes available in future, we will ask for your specific approval before each submission.

You are responsible for the accuracy and completeness of the figures, documents and company details you give Keel, and for keeping your own statutory records.

Reminders are a help, not a guarantee. We aim to email a reminder before each due date Keel tracks for you. Email can be delayed, filtered as spam, or fail to send, and Keel may not track every obligation that applies to your business. You remain responsible for meeting your deadlines whether or not a reminder arrived.

Keel does not guarantee that any authority will accept a filing or document.

4. Your account and acceptable use

Keep your sign-in details secure, and tell us promptly at [email protected] if you believe your account has been compromised. You are responsible for activity in your workspace, including actions taken by anyone you have added to your team.

You must not:

Content Rules. You must not upload, store, generate or send through Keel anything that:

Leads and outreach. Keel can help you discover and research prospective business contacts. Sending outreach email through Keel on your behalf is a capability we are rolling out carefully and may limit or switch off for some or all users at our discretion while we finish the compliance work that feature needs. Where sending is available to you, you decide who to contact and are solely responsible for having a lawful basis to do so; Keel is not responsible for the content or legality of messages you choose to send.

Usage limits. Plans include limits on the number of companies, AI usage and outreach volume. We may apply or adjust reasonable limits to keep the Service reliable and affordable for everyone, and we will show your current limits in the product.

5. Your content and our service

Your content stays yours. You keep all rights in the details, figures, documents, leads and messages you put into Keel ("Your Content"). You give Keel permission to host, copy, process and transmit Your Content, and to share it with the service providers described in our Privacy Policy, solely as needed to provide and secure the Service for you.

You confirm that you hold the rights and permissions needed for Keel to process Your Content, including any personal data of other people it contains, such as directors, employees, customers or contacts.

Keel's service stays ours. Keel owns the Service, its software and its design. Documents Keel generates for you are yours to use for your business. We retain the right to reuse our own templates and general know-how.

Company registry data shown in Keel comes from the Ministry of Corporate Affairs via data.gov.in, made available under the Government Open Data License – India.

If you send us feedback or suggestions, we may use them to improve Keel without any obligation to you.

6. Plans, trial and payment

Plans. Keel offers a Free plan and paid plans (Premium and Pro). What each plan includes, and its limits, are shown on our pricing page and inside the product.

Trial. Your first company starts on a free 14-day trial of paid features. No payment details are required to start it. At the end of the trial your workspace moves to the Free plan unless you have upgraded. On the Free plan, paid-only features stop (scheduled outreach sequences are stopped rather than paused), and companies beyond the Free plan's limit are locked until you upgrade or remove companies to get back within it. Your data is not deleted because a trial ends.

Upgrading to Premium. You start Premium yourself, from your billing settings in Keel. We show you the price before you confirm, and you set up a recurring mandate with our payment provider, Razorpay, which then collects each period's fee automatically. You are never charged an amount we have not shown you first. If subscribing in the app is not switched on for your account, Keel says so on that screen rather than taking a payment, and we will set the plan up with you instead.

Upgrading to Pro. Pro is priced for your account rather than from a published list, so it starts with a conversation: email us at [email protected]. We will confirm the plan, price and billing period in writing and send an invoice, and we switch on the plan once payment is received.

Price and taxes. Prices are in Indian rupees and are shown exclusive of GST, which we add at the applicable rate and show on a GST-compliant tax invoice carrying our GSTIN (27AATCM7522P1ZJ). Add your own GSTIN to your billing details if you want to claim input tax credit.

Billing period and renewal. Paid plans are billed in advance for the period you choose. A Premium plan on a recurring mandate renews itself at the end of each period — there is no renewal invoice for you to pay by hand. If a renewal charge fails, Razorpay retries it and Keel tells you that it is retrying; you keep your paid features to the end of the period you have already paid for, and for a short grace period after it. If the charge still cannot be collected, your workspace moves to the Free plan. For a Pro plan agreed by email, we will send your renewal invoice before the end of each period, and if it is not paid within 15 days of its due date we may move your workspace to the Free plan until payment is made. Either way, your data is not deleted because a plan lapses.

Price changes. We will give at least 30 days' notice of any increase to our prices. It will take effect from your next billing period.

Refunds and cancellation. You can cancel a Premium plan yourself at any time, from your billing settings in Keel — you do not need to email us or ask permission — and your paid features run to the end of the period you have paid for. If you cancel in the window after your mandate is registered but before the first charge is taken, the cancellation takes effect at once and nothing is collected. A Pro plan agreed by email is cancelled by telling us. Fees already paid are not refundable except in the cases set out in our Refund & Cancellation Policy, which forms part of these terms and is the authoritative statement of when we refund, how to ask, and how long it takes. Fees you pay directly to a chartered accountant or other independent professional are not ours to refund — see section 5 of that policy.

7. Suspension and ending the agreement

You can stop using Keel at any time. Delete your companies, or email us to close your account. Fees already paid are not refunded except as set out in section 6.

We may suspend or end your access to all or part of the Service, with notice where practical, if:

We will tell you why unless we are not permitted to. We may also end the Service for all users with at least 60 days' notice, in which case we will refund any prepaid fees for the unused period.

After your account closes, you can ask for an export of your data within 30 days. We then delete your data as described in our Privacy Policy, keeping only what the law requires and the records needed for outreach opt-outs to keep working.

Sections 5, 8, 9 and 11 continue to apply after this agreement ends.

8. Our responsibility to you

What we promise. We provide the Service with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the Service is provided "as is" and "as available". We do not promise that it will be uninterrupted or error-free, that it will identify every obligation that applies to you, or that dates, penalty estimates, AI output or generated documents will always be complete, current or correct.

To the fullest extent the law allows, Keel is not liable for:

To the fullest extent the law allows, Keel's total liability to you for all claims relating to the Service in any 12-month period is limited to the greater of the fees you paid Keel in the 12 months before the event giving rise to the claim, and ₹10,000. Nothing in these terms limits liability for fraud, or any liability that cannot be limited by law.

9. Your responsibility to us

You will indemnify Keel against third-party claims, penalties imposed by authorities, and reasonable costs, including reasonable legal fees, arising from:

We will tell you promptly about any such claim and let you take part in its defence.

10. General

Events outside our control. Neither of us is liable for a delay or failure caused by something outside our reasonable control, such as an outage at an upstream provider, a government portal or a network, a natural disaster, or government action. This does not excuse your payment obligations.

Changes to these terms. We may update these terms from time to time. For a change that matters, we will give you at least 15 days' notice by email or in the product, and the change applies from that date. If you do not agree, you can stop using Keel before then. A change needed for legal or security reasons may apply sooner.

Notices. We send notices to the email address on your account. You can send notices to us at [email protected].

Assignment. You may not transfer this agreement without our consent. We may transfer it to a successor of our business, and we will tell you if we do.

Entire agreement. These terms, our Privacy Policy, and any written order or quote for a paid plan make up the whole agreement between us about the Service. If any part of these terms is found unenforceable, the rest continues to apply.

11. Law and disputes

These terms are governed by the laws of India.

If you have a complaint, write to us first at [email protected] or to our Grievance Officer below. We will try to resolve it within 30 days.

Any dispute not resolved within 30 days will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by agreement between us or, failing agreement, as that Act provides. The seat and venue of arbitration will be Mumbai, India, and proceedings will be conducted in English and may be held online. Subject to that, the courts at Mumbai have exclusive jurisdiction, and either party may still seek urgent interim relief from a competent court.

Nothing in this section limits any right you have under the Digital Personal Data Protection Act, 2023, to complain to the Data Protection Board of India.

12. Where Keel is available

Keel is currently offered only to businesses in India.
